Step 1: Business assessment and diagnostic
We meet with you to assess your business and determine the best methods to prepare and groom the business so it can be sold for the best possible price and terms.
Step 2: Business Profile
We will prepare an extensive Business Profile that highlights the advantages of your business and explains your “Value Proposition”. The Business Profile will inform the Buyer as to why your business is sought-after and desirable.
Step 3: Business Valuation
Our in-house financial experts will perform a full valuation utilizing over 21 different valuation methods. Business Valuations are not based solely on earnings X a multiple; rather, there are a multitude of factors – including location, business type and industry – that are taken in account and used to arrive at a proper Business Valuation.
Step 4: Customized marketing package
The marketing plan to sell your business must be customized in order to capitalize on the strengths of the company and its future potential. We develop a Customized Marketing Package that is specific to your business and goals.
Step 5: Taking the business to market

Step 6: Identifying and qualifying the buyer
Your customized business marketing package will only be presented to qualified Buyers who have signed a Non-Disclosure and Confidentiality Agreement and proven their ability to buy the business through our established qualifying methods.
Step 7: Due diligence
Every Buyer will want to perform their “Due Diligence” on your business. Many of the questions a Buyer has will be answered in advance by the full Business Profile and Financial Valuation prepared by your Pavilion Team.
Step 8: Letter of Intent (LOI)
Pavilion will coordinate with both the Buyer and the Seller to enter into a Letter of Intent (LOI) that will form the basis for a Legal Contract of Purchase and Sale. This document will put in writing agreed upon terms of both parties, for completing the transaction.
Step 9: Contract of Purchase and Sale
A legal document (Contract of Purchase and Sale) will be drafted by a Business Attorney, and will outline the terms of the sale and what conditions need to be met by both parties.
Step 10: Complete the deal
We will ensure that the entire process moves along as smoothly as possible and complete the Deal!
